Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Companion services described below. The Services are operated by Companion App LLC (“Companion,” “we,” “us,” or “our”), a Florida limited liability company.
By accessing the Services, creating an account, or submitting our waitlist or contact forms, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1. The Services
The “Services” consist of:
- The marketing site at yourcompanion.io, including the waitlist form and the contact form
- The companion. dashboard application at dashboard.yourcompanion.io, a web-based coordination platform for live event production. The dashboard supports an Organization → Company → Event → Group hierarchy with role-based access; group chat with file attachments; event timelines, group itineraries, and task management; talent profiles and intake information; calendar feeds; and browser push notifications
2. Eligibility
You must be at least 18 years old to use the Services. By using the Services, you represent that you meet this requirement and that you have the legal authority to enter into these Terms. The Services are intended for use by professionals coordinating live events; they are not directed at children under 16.
3. Accounts
Accounts on the dashboard may be created by an Organization administrator, by invitation, or through self-registration where available. You agree to provide accurate information when you create or accept an account, to keep that information current, and to maintain the confidentiality of your password and other access credentials. You are responsible for activity that occurs under your account.
If your account was created or controlled by an Organization administrator, that administrator may modify your access, role, or permissions, and may delete your account within their Organization.
4. Acceptable use
You agree not to:
- Submit illegal, infringing, defamatory, harassing, or harmful content
- Submit content you do not have the rights to share
- Attempt to access another user's account, content, or data without authorization
- Probe, scan, or test the Services for vulnerabilities without our prior written permission
- Use scrapers, bots, or other automated tools to access or extract data from the Services
- Reverse engineer, decompile, or attempt to extract the source code of the Services
- Resell, sublicense, redistribute, or commercialize access to the Services
- Use the Services to violate applicable law or to interfere with other users
- Submit false, misleading, or impersonated information
We may suspend or terminate access for users who violate these Terms.
5. Your content
The Services let you submit, store, and share information including chat messages, file attachments, event details, itineraries, tasks, and talent profile information (collectively, “User Content”).
You retain ownership of your User Content. By submitting User Content through the Services, you grant Companion App LLC a worldwide, royalty-free, non-exclusive license to host, store, transmit, copy (including for backups), display, modify (such as resizing images for delivery), and otherwise process the User Content solely as necessary to provide and improve the Services for you and your Organization. This license terminates when your User Content is removed, except for residual copies retained as part of routine backups, for the time required to comply with our retention policies, or where retention is required by law.
You represent and warrant that you have the rights necessary to grant this license and that your User Content does not violate the rights of any third party.
6. Intellectual property
The Services, including their design, software, text, graphics, logos, and the “companion.” wordmark, are owned by Companion App LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws. Except for the limited rights to use the Services granted under these Terms, no rights are transferred to you. You may not reproduce, distribute, or create derivative works from our intellectual property without our written permission.
7. Service availability
The Services are currently provided without any uptime service-level commitment. We do not guarantee that the Services will be uninterrupted, error-free, or available at any particular time. We may modify, suspend, or discontinue any portion of the Services at any time, with reasonable notice where practicable.
8. Notifications and calendar feeds
You may enable browser push notifications and subscribe to event or group calendar feeds. By enabling push notifications, you consent to receiving operational messages on your device; you can disable them at any time through your browser settings. Calendar feed URLs contain a unique token — anyone with the URL can view the calendar contents, so you should keep them private.
9. Termination
You may stop using the Services at any time. You may request deletion of your account by emailing contact@yourcompanion.io or, where available, by using the deletion controls in your account settings.
We may suspend or terminate your access if you breach these Terms, if your account poses a security or legal risk, or if your Organization administrator removes your access. Termination ends your license to use the Services. Sections of these Terms that by their nature should survive — including intellectual property, your User Content license to the extent of residual copies, no warranty, limitation of liability, indemnification, and governing law — will continue to apply after termination.
10. Privacy
Our handling of your information is described in our Privacy Policy. By using the Services, you acknowledge that we will process information in line with that Policy.
11. Fees
The Services are currently provided without charge. If we introduce paid features, we will publish updated Terms describing the applicable fees, billing terms, cancellation rights, and refund policies before those features become available, and your continued use of paid features will be subject to those updated Terms.
12. No warranty
The Services are provided “as is” and “as available,” without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, Companion App LLC and its parent and affiliates disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability. We do not warrant that the Services will be uninterrupted, secure, or error-free.
13. Limitation of liability
To the fullest extent permitted by applicable law, Companion App LLC and its parent, affiliates, officers, employees, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Services, even if we have been advised of the possibility of such damages.
Our total liability for any direct damages arising out of or in connection with the Services is limited to the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred US dollars (US$100).
14. Indemnification
You agree to indemnify and hold harmless Companion App LLC, its parent and affiliates, and our respective officers, employees, and agents from any claim or demand — including reasonable attorneys' fees — arising out of your breach of these Terms, your User Content, or your misuse of the Services.
15. Changes to the Services and these Terms
We may modify, expand, or discontinue any portion of the Services at any time. We may also update these Terms; the “Effective date” above will reflect the most recent change. If we make material changes, we will take reasonable steps to notify you, including via in-app notice or email to the address associated with your account. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
16. Governing law and venue
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law principles. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you and Companion App LLC consent to the personal jurisdiction of those courts.
17. Miscellaneous
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Companion App LLC regarding the Services. If any provision is held to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
